Terms of Service

By accessing or using VIAOL's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These terms constitute a legally binding agreement between you and VIAOL. We reserve the right to modify these terms at any time, and such modifications will be effective immediately upon posting.

VIAOL provides strategic technology consulting services, including but not limited to:

• AI strategy consulting and implementation
• Network security solutions and auditing
• Building automation and smart systems
• Financial integration and payment processing
• System integration and software development
• Business process optimization

Services are provided subject to availability and may be modified or discontinued at our discretion with appropriate notice to clients.

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Comply with all applicable laws and regulations
• Not interfere with or disrupt our services
• Not attempt to gain unauthorized access to our systems
• Respect intellectual property rights

Specific consulting services will be governed by separate service agreements that will include detailed terms regarding:

• Scope of work and deliverables
• Project timelines and milestones
• Payment terms and fee structure
• Confidentiality and non-disclosure provisions
• Intellectual property ownership
• Performance standards and acceptance criteria

In case of conflict between these Terms of Service and a specific service agreement, the service agreement will take precedence.

General Payment Terms:

• Fees are due according to the payment schedule in your service agreement
• Late payments may incur interest charges at 1.5% per month
• All fees are non-refundable unless otherwise specified
• Prices are subject to change with 30 days notice

Accepted Payment Methods:

• ACH bank transfers
• Wire transfers
• Credit cards (subject to processing fees)
• Checks (for pre-approved clients)

VIAOL Intellectual Property:

All content, software, methodologies, and materials developed by VIAOL remain our intellectual property unless explicitly transferred in writing.

Client Intellectual Property:

We respect your intellectual property rights. Any pre-existing client IP remains your property, and we will not use it except as necessary to provide services.

Work Product:

Ownership of work product will be defined in individual service agreements. Generally, custom developments become client property upon full payment.

We understand the sensitive nature of business information and maintain strict confidentiality protocols:

• All client information is treated as confidential
• We sign NDAs as required by clients
• Access to client data is limited to authorized personnel
• We implement industry-standard security measures
• Confidentiality obligations survive termination of services

Service Disclaimers:

• Services are provided "as is" without warranties of any kind
• We do not guarantee specific business outcomes or results
• Technology implementations may have inherent risks
• Third-party integrations are subject to external service availability

Limitation of Liability:

Our total liability for any claim will not exceed the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

Termination by Client:

• 30 days written notice for ongoing services
• Payment for completed work and committed resources
• Return of confidential materials

Termination by VIAOL:

• Immediate termination for breach of terms
• 30 days notice for convenience
• Non-payment after 60 days

Effect of Termination:

Upon termination, all outstanding fees become immediately due, confidentiality obligations continue, and we will provide reasonable transition assistance.

Preferred Resolution:

We encourage open communication to resolve any disputes. Most issues can be resolved through direct discussion with our team.

Formal Dispute Process:

1. Written notice of dispute with 30 days to cure
2. Good faith negotiations between senior representatives
3. Mediation through agreed-upon mediator
4. Binding arbitration if mediation fails

All disputes will be governed by the laws of the state where VIAOL is incorporated.

Force Majeure:

Neither party will be liable for delays caused by circumstances beyond their reasonable control, including natural disasters, government actions, or pandemics.

Severability:

If any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement:

These terms, together with any applicable service agreements, constitute the entire agreement between the parties.
